Terms & Conditions

These Terms and Conditions (“Terms”) set out the agreement between you (“the Client”) and Shaun Lawrence trading as Innuvo (“we”, “our”, “us”) in relation to the services we provide. By working with us, purchasing our services, or using our hosting, you agree to these Terms.

1. About Us

  • Jurisdiction: These Terms are governed by the laws of England and Wales.

2. Services We Provide

  • Website design and development (full service)
  • Website hosting and domain registration
  • Email hosting
  • Website maintenance and updates
  • SEO, PPC, content creation, and social media management
  • Software/plugin management and licensing

3. Project Scope and Client Responsibilities

  • Clients must provide all necessary content (text, images, logos, etc.) as soon as possible after the deposit has been received.
  • Clients are responsible for ensuring they own or have the right to use all content provided.
  • If content is delayed by more than 21 days, project completion dates will be affected.

4. Payments

  • 60% deposit required before work begins.
  • 40% balance due on completion before the website goes live.
  • Deposits are non-refundable after 14 days (7-day cancellation allowed).
  • Hosting invoices must be paid before renewal or services will be suspended.
  • Payments accepted by bank transfer only for invoices other than hosting.  Repeating hosting invoices can be paid by  Card via Stripe.

5. Revisions and Maintenance

  • 30 days of free changes within the agreed project scope.
  • Additional work outside scope or beyond 30 days is billed separately.
  • Clients hosting with Innuvo receive inclusive updates and backups.

6. Hosting and Domains

  • Hosting managed through third-party providers.
  • Target of 99.99% uptime (not guaranteed).
  • Daily backups provided; no liability accepted for downtime or data loss.
  • 30 days’ notice required to terminate hosting.
  • £50 admin fee for preparing transfers. Migration of files/emails not included.
  • Hosting fees are non-refundable once paid.

7. Intellectual Property

  • Full ownership of website, code, and designs transferred upon payment in full.
  • We may showcase projects in our portfolio.
  • Plugin/software licences remain valid while hosting with us. If hosting is moved, licences remain for 1 month before requiring the client to purchase their own.

8. Marketing and SEO Services

We provide SEO, PPC, content creation, and social media management but do not guarantee results or revenue increases.

9. Limitations of Liability

  • No liability for downtime, lost data, or lost revenue.
  • Maximum liability limited to fees paid by the Client.

10. Cancellations and Termination

  • Either party may terminate with 30 days’ notice.
  • Deposits non-refundable after 14 days.
  • Hosting fees are non-refundable.
  • Partial refunds at our discretion only.

11. Data Protection and Privacy

  • We comply with UK GDPR and Data Protection Act 2018.
  • Hosting data stored in the UK; email via Gmail; analytics via third parties.
  • Clients must ensure their websites comply with GDPR (cookie banners, privacy policies, etc.).

12. Dispute Resolution

Disputes will first be attempted via mediation. These Terms are governed by UK law.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of our services will be deemed acceptance of updated Terms.

14. Website Care & Maintenance Plans

14.1 Plan Selection and Scope The Client shall select one of three available monthly plans (Hosting Only, Site Care, or Premium Updates). Each plan carries a specific set of inclusions:

  • Hosting Only: Includes cloud hosting, SSL management, and automated daily backups. It excludes all software updates (WordPress core, themes, and plugins).

  • Site Care: Includes all “Hosting Only” features plus monthly updates to WordPress core, security patches, and plugin updates.

  • Premium Updates: Includes all “Site Care” features plus a monthly manual quality assurance check of core site functionality, specifically testing contact forms and/or e-commerce checkout flows.

14.2 Automated Monthly Billing All Care Plans are billed monthly in advance via automated recurring invoice. By enrolling in a plan, the Client authorises the use of automated payment processing (e.g., Stripe via Xero).

  • Unpaid Invoices: If payment is not received within 7 days of the invoice date, services (including hosting) may be suspended without further notice.

  • No Pro-Rata Refunds: No refunds or credits are provided for partial months of service if a plan is cancelled mid-cycle.

14.3 Third-Party Software & Compatibility While Innuvo performs updates to keep the site secure, we are not the authors of third-party plugins or themes.

  • In the event that a software update causes a site conflict or “breakage,” our priority is to restore the site via the latest backup.

  • Investigating and fixing compatibility issues caused by third-party code updates is not included in the monthly fee and will be quoted as additional development work.

14.4 Manual Testing (Premium Plan Only) “Manual Testing” consists of a once-per-calendar-month review of the site’s primary conversion points. This is a point-in-time check. Innuvo is not liable for form failures or payment gateway issues that occur between these scheduled monthly checks due to external API changes, browser updates, or Client interference.

14.5 Client Access & Interference If the Client (or a third party granted access by the Client) makes changes to the site that result in downtime, security vulnerabilities, or broken functionality, the cost of repair is not covered by the monthly plan and will be billed at our standard hourly rate.

14.6 Cancellation The Client may cancel or downgrade their plan at any time by providing 30 days’ written notice.
